Jeremy J. Sharp is an accomplished benefits and compensation attorney with extensive in-house and law firm experience advising corporations, executives, and plan governance committees on ERISA, tax, and compliance matters across diverse industries. He excels at translating complex regulatory requirements into practical business strategies, aligning benefits design, plan governance, and compliance with financial objectives to optimize cost efficiency, mitigate risk, and enhance employee value.

His practice focuses on pension and retirement plan governance, executive compensation strategy, health and welfare program management, mergers and acquisitions due diligence, fiduciary training and committee advisory, vendor selection and contract negotiations, regulatory filings and government audits, process improvement, risk mitigation, and collective bargaining support.

Jeremy has held senior in-house legal roles at major organizations, where he provided strategic counsel on qualified plans, nonqualified arrangements, welfare benefits, and fiduciary matters while driving significant financial and operational improvements.

At Cleveland-Cliffs Inc., he served as Senior Benefits Attorney, guiding benefits, compensation, and HR teams on compliance with ERISA, the Internal Revenue Code, HIPAA, and related regulations. He strengthened organizational benefits strategy through plan design, vendor selection, contract negotiations, and collective bargaining support. Jeremy led initiatives that slashed 401(k) administration costs, merged legacy defined benefit pension plans to generate immediate cash flow and long-term savings, and lowered participant investment expenses through RFP processes and investment menu redesigns.

Previously, as HR & Benefits Counsel at FirstEnergy Corp., he supported compensation and benefits strategy, conducted due diligence for corporate transactions, served on key fiduciary committees (including savings plan, retirement, and benefits appeals), and contributed to policy development on DEI, health emergencies, vaccination mandates, return-to-work, and labor matters.

As Director of Benefits and Corporate Counsel at The Scott Fetzer Company (a Berkshire Hathaway company), Jeremy led the full benefits function for pension, defined contribution, health, and welfare plans. He delivered significant year-over-year medical cost savings, improved vendor performance through RFPs and contract negotiations, drove operational efficiencies, enhanced retirement plan governance, and served as company ethics leader.

Earlier in his career, Jeremy was a Partner at Walter Haverfield LLP and held associate positions at Baker & Hostetler and Duvin, Cahn & Hutton. He began his career as a Senior Tax Consultant with Ernst & Young LLP.
